Adjudica.AI — Glass Box Solutions, Inc.

These Terms of Service (“Terms” or “Agreement”) are a legally binding agreement between you (“User,” “you,” or “your”) and Glass Box Solutions, Inc. (“Glass Box Solutions,” “Company,” “we,” “us,” or “our”) governing your use of the Adjudica.AI platform and related services (collectively, the “Service”).

By using the Service, you agree to these Terms. We know you're busy — but this stuff matters, so we've tried to make it readable. If you don't agree, you can't use the Service.

If you're using the Service on behalf of a law firm, you represent that you have authority to bind that organization.

1. Definitions

AI OutputAny text, analysis, summary, calculation, citation, recommendation, or other content generated by the Service's artificial intelligence features. AI Output is a tool, not a final work product — verification is your responsibility.

Authorized UserAny individual authorized to access the Service under your Account, including Licensed Attorneys, paralegals, legal assistants, and support staff operating under Professional Supervision.

BAABusiness Associate Agreement — the HIPAA-required agreement governing the handling of Protected Health Information. No PHI until the BAA is signed.

HallucinationAI-generated content that appears plausible but is factually incorrect, including fabricated citations or inaccurate legal conclusions. This is a known limitation of current AI technology, not a bug we can patch.

Licensed AttorneyAn attorney admitted to practice law and in good standing with the California State Bar or another U.S. state bar.

PHIProtected Health Information as defined in HIPAA at 45 CFR § 160.103. Medical records, QME reports, treatment notes, diagnoses — if it identifies a patient and relates to their health, it's PHI.

Professional SupervisionThe oversight relationship required by California Rules of Professional Conduct Rule 5.3, where a Licensed Attorney supervises non-attorney personnel using the Service.

ScrapingUsing any automated means — including bots, spiders, crawlers, or scripts — to access, extract, download, or collect data from the Service. Strictly prohibited.

User DataAll content you upload, input, or process through the Service. You own your User Data. We process it to provide the Service, not to build our business on your clients' information.

VerificationThe process of independently confirming the accuracy of AI Output, including checking citations against primary sources and applying professional judgment. This is your job, not ours.

2. Account Registration and Security

To use the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration, maintain the security of your login credentials, and notify us immediately of any unauthorized access. The Service is intended for licensed attorneys and authorized legal professionals supervised by a licensed attorney. You are responsible for all activities under your Account.

3. HIPAA Compliance

Sign the BAA Before You Upload Medical Records

If you're processing Protected Health Information (PHI) through Adjudica — and if you're doing Workers' Comp, you almost certainly are — you need a Business Associate Agreement with us first. Email legal@adjudica.ai and we'll get it done. It takes about 24 hours to get a BAA in place.

Your HIPAA Obligations

  • You have legal authority to access the PHI you're uploading
  • You're operating under a valid HIPAA exception — probably the workers' compensation exception at 45 CFR 164.512(l)
  • You'll use the Service in compliance with HIPAA and state privacy laws
  • You'll apply the minimum necessary standard

DO NOT upload PHI until we have an executed BAA. This isn't a suggestion; it's a hard rule. Uploading PHI without a BAA in place is a material breach of these Terms — and a potential HIPAA violation for both of us. We will suspend accounts that upload medical records without an executed BAA.

4. AI Services and Limitations

What Adjudica Is

A sophisticated AI assistant for California Workers' Compensation attorneys. It reads documents, extracts information, identifies issues, suggests analysis, and helps you work faster.

What Adjudica Is Not

A lawyer. An oracle. A replacement for your brain. AI Output is not legal advice, and using Adjudica does not create an attorney-client relationship between Glass Box Solutions and anyone.

AI Hallucinations — Let's Be Honest About This

AI sometimes makes things up. It's called “hallucination,” and it's a known limitation of current AI technology. The AI might generate a citation that looks perfect but doesn't exist, or confidently state something that's just wrong.

What we do about it: We specialize exclusively in California Workers' Compensation law (depth over breadth), ground AI responses in your actual case documents, give you “Hover to Source” so you can see exactly where the AI got its information, and put human review checkpoints at critical stages.

What you need to do: Check the citations. Check the sources. You're the attorney; the AI is your tool, not your replacement. You are solely responsible for verifying AI Output before relying on it.

No Guarantee of Accuracy. We do not guarantee that AI Output is accurate, complete, or suitable for any particular purpose. You bear sole responsibility for any reliance on AI Output. You remain fully responsible for all work product, whether AI-assisted or not.

5. License and Intellectual Property

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not copy, modify, distribute, reverse engineer, rent, lease, sell, or sublicense the Service. You may not use the Service to develop competing products.

Your Content: You retain all ownership rights in your User Data. By uploading Content to the Service, you grant us a limited license to process that Content solely to provide the Service to you.

AI Output: Subject to the limitations in Section 4, you may use AI Output in connection with your legal practice. However, AI Output may incorporate publicly available information, and no exclusive rights are granted.

6. Subscription and Payment

Access to the Service requires a paid Subscription. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated herein. We may change Subscription prices upon 30 days' notice, effective at your next renewal period. You are responsible for all applicable taxes.

7. Acceptable Use

Prohibited Uses — General

You may not use the Service to violate any law, regulation, or professional rule; upload content you do not have the right to use; process PHI without an executed BAA; interfere with the Service; attempt unauthorized access; upload malware; engage in fraudulent activity; harass any person; engage in deception or disinformation; impersonate any person or entity; or violate export control laws.

AI Training and Data Extraction

Don't scrape us. Seriously.

  • ×Train AI models — Use AI Output or Service data to train any AI or ML model
  • ×Build training datasets — Systematically collect AI Output for training data
  • ×Scrape — Use bots, spiders, scrapers, or automated extraction
  • ×Programmatic extraction — Except through documented APIs at rate limits
  • ×Benchmark competitors — Use Adjudica to test competing AI products
  • ×Reverse engineer — Attempt to discover source code, algorithms, or models

Circumvention and Misrepresentation

You may not circumvent rate limits, bypass safety measures or access controls, circumvent professional supervision requirements, misrepresent AI Output as human-created without disclosure, or create false credentials or fake attorney accounts.

Your Practice, Your Responsibility. You're responsible for ensuring your use complies with all applicable laws and rules of professional conduct. We don't practice law. Your work product is yours — which means responsibility for it is yours too. We may suspend or terminate access immediately for violations of this Section.

8. Confidentiality

Each party agrees to hold the other party's Confidential Information in confidence. We understand that your User Data may include attorney-client privileged information and attorney work product. We will treat such information as Confidential Information and will not disclose it except as required to provide the Service or as required by law.

9. Data Protection

Your case data is yours. We don't train our AI on it.

We do not use PHI, document content, or case-specific information to train AI models. Your medical records, legal documents, and case queries are processed only to serve you. We collect only de-identified behavioral signals — things like “user corrected a document classification” or “this feature threw an error.” No PHI. No case content. No way to trace it back to a specific matter.

10. Disclaimers and Limitations of Liability

Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Glass Box Solutions shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, or business opportunities — arising out of or related to this Agreement or the Service.

Our total cumulative liability for all claims shall not exceed the greater of: (A) the amounts actually paid by you in the twelve (12) months preceding the claim, or (B) one thousand dollars ($1,000).

Exceptions: These limitations don't apply to our gross negligence or willful misconduct, breach of our confidentiality or data protection obligations, or liability that can't be limited under applicable law.

Allocation of Risk. This limitation of liability is a fundamental part of the deal. You're getting sophisticated AI-powered legal software at a price point that doesn't require a capital call from your partners. This allocation of risk is a material inducement for us to provide the Service at current pricing.

11. Indemnification

Your Indemnification of Us

You agree to indemnify, defend, and hold harmless Glass Box Solutions from any claims arising out of: your use of the Service (including reliance on AI Output), violation of these Terms, violation of any applicable law or rule of professional conduct, infringement of third-party rights by your User Data, your legal practice (including malpractice claims, ethics complaints, or bar grievances), claims of unauthorized practice of law, failure to maintain professional supervision, or HIPAA violations related to PHI you process through the Service.

Let's be direct: If your client sues you for malpractice because you relied on an AI-generated citation that was wrong, that's on you — not us. You're the attorney. You verify the work. You bear the professional responsibility.

Our Indemnification of You

We agree to indemnify you from claims that the Service itself infringes any third-party U.S. intellectual property right, provided you give us prompt notice, sole control of the defense, and your cooperation.

12. Term and Termination

These Terms are effective upon your first access to the Service and continue until terminated. You may terminate at any time by contacting support@adjudica.ai. We may terminate for material breach (with 30 days' notice and opportunity to cure), immediately for Acceptable Use violations, or for non-payment after 15 days' notice. Upon termination, we will delete or return your User Data within 30 days. You may request a data export in a standard machine-readable format within 30 days of termination.

13. General Provisions

Governing Law and Venue

This Agreement is governed by the laws of the State of California. Exclusive venue for any permitted court proceedings is Orange County, California.

Mandatory Arbitration

You and Glass Box Solutions agree that any dispute arising out of or relating to this Agreement shall be resolved exclusively through binding arbitration. Before filing, you must email legal@adjudica.ai with a description of your claim. We have 60 days to try to resolve it informally.

Arbitration is conducted through JAMS under its Comprehensive Arbitration Rules in Orange County, California. A single arbitrator resolves the dispute with limited discovery. Proceedings are confidential. The decision is final and binding.

Class Action Waiver — Material Term

You and Glass Box Solutions agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class action, class arbitration, collective action, private attorney general action, or representative action.

No class actions. No mass arbitrations. No PAGA claims. If you have a dispute with us, it's between you and us — one-on-one in individual arbitration. This waiver is a fundamental term of this Agreement and the pricing reflects this allocation of risk.

Jury Trial Waiver

To the fullest extent permitted by law, you and Glass Box Solutions each waive the right to a jury trial for any dispute arising out of or relating to this Agreement. If a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.

  3. You'll follow the Acceptable Use Policy
  4. You understand AI Output needs verification — it's a tool, not an oracle
  5. You'll sign a BAA before uploading any PHI
  6. You have authority to agree to this

These Terms of Service are effective as of February 23, 2026. Glass Box Solutions, Inc.
